Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and Tora Technologies ("Tora", "Company", "we", "us", or "our") governing your access to and use of our websites, software development services, products, and any related services (collectively, the "Services").

Services Description

Tora Technologies provides custom software development services, including but not limited to web application development, system architecture, performance optimization, and related consulting services. We may also offer software products and subscription services.

If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

Content and Intellectual Property

You retain ownership of any content you provide to us ("User Content"). By providing User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, and process such content solely as necessary to provide the Services.

All Services, including software, designs, text, graphics, and other materials, are owned by Tora or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without express written permission.

Service Agreements and Professional Services

Custom development work and professional services are governed by separate written agreements. These Terms supplement but do not replace project-specific contracts, statements of work, or service agreements.

Payment Terms

Payment terms for services are specified in separate agreements. All fees are non-refundable unless otherwise stated in our Refund Policy or required by law. We reserve the right to suspend Services for non-payment.

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Disclaimers and Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. Your use of the Services is at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TORA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Tora and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

Termination

We may terminate or suspend your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services will cease immediately.

Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction where Tora Technologies is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration or in courts of competent jurisdiction.

Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and Tora.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by email or through our Services. Continued use of the Services after changes constitutes acceptance of the new Terms.
